These General Terms and Conditions ("Terms") are between Peppit Ltd., company number 17433912, registered office at Unit 145, Stratford Workshops, Burford Rd, London E15 2SP ("Peppit", "we", "us" or "our") and the person or business accepting these Terms ("Customer", "you" or "your").
By creating an account, accessing or using Peppit, you agree to these Terms. If you accept these Terms on behalf of a business, you confirm that you have authority to bind that business.
1. Services.
1.1 Peppit provides software-as-a-service solutions for merchants, including inventory digitisation, product identification, catalogue management, API integrations, connections to third-party services and Peppit Direct (the "Services").
1.2 The Services may enable you to connect your Peppit account and product catalogue with third-party services, including HubRise, Deliveroo, Just Eat and Uber Eats ("Third-Party Services").
1.3 Peppit may add, remove, replace or modify Services and Third-Party Service integrations from time to time.
1.4 Peppit does not guarantee that any Third-Party Service or integration will remain available, compatible or unchanged.
2. Eligibility and Account.
2.1 You must be at least 18 years old and legally capable of entering into a binding agreement.
2.2 You must provide accurate, complete and current information and keep your account information up to date.
2.3 You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account.
2.4 You must notify Peppit promptly of any unauthorised access or suspected compromise of your account.
3. Merchant Responsibilities.
3.1 You are solely responsible for the accuracy, legality, quality and completeness of information you provide or publish through the Services, including product, pricing, stock, tax, allergen and dietary information.
3.2 You are responsible for complying with all laws and regulations applicable to your business, products and activities.
3.3 You must provide Peppit with all information, access and cooperation reasonably required to provide the Services.
4. Third-Party Services and Integrations.
4.1 The Services may integrate with or depend upon Third-Party Services.
4.2 You acknowledge that Peppit does not own, control or operate Third-Party Services. Your use of them is subject to their applicable terms, policies and requirements.
4.3 You are responsible for maintaining any third-party accounts, permissions, credentials, subscriptions and authorisations required for an integration.
4.4 Where an integration requires you to authorise Peppit to access a Third-Party Service, you authorise Peppit to access and process the information and functionality reasonably required to provide the Services.
4.5 Peppit is not responsible for any act or omission of a Third-Party Service, including any outage, suspension, restriction, account termination, API change, integration change, data error, delay, loss of functionality or change in terms.
4.6 A Third-Party Service may independently suspend, restrict or terminate your account or its connection with Peppit. Such action does not constitute a breach by Peppit.
4.7 Peppit may suspend, modify or discontinue an integration where reasonably necessary due to changes to a Third-Party Service, its API, technical requirements, commercial terms, security requirements or availability.
4.8 Connecting Deliveroo, Uber Eats or Just Eat requires a minimum of 20 ready-to-publish products in your inventory before the connection can be established.
5. Stripe Verification and Payment Activity.
5.1 Where Peppit requires Stripe verification for your plan or Services, completion of the required verification is a condition of using any payment-related functionality.
5.2 You must complete and maintain any verification required by Peppit or its payment service providers.
5.3 Peppit will not enable payment activity until the required verification has been successfully completed.
5.4 Failure to complete or maintain required verification may prevent access to payment functionality and may result in suspension or termination of the relevant Services.
6. Fees and Commission.
6.1 Applicable subscription fees, commissions and other charges are those displayed when you select the relevant plan or otherwise agreed in writing.
| Tier | Published products | Commission rate |
|---|---|---|
| Local Seller | 0–149 products | 10% |
| Oasis Reached | 150–299 products | 9% |
| Desert Trader | 300–599 products | 8% |
| Caravan Leader | 600–899 products | 7% |
| Dune Master | 900–1,499 products | 6% |
| Legendary Merchant | 1,500+ products | 5% |
6.2 Peppit's standard commission is 10%. For Peppit Pro merchants, this rate automatically reduces as published products increase on the merchant's best-performing connected delivery platform (Deliveroo, Uber Eats, or Just Eat — products published on Peppit Direct do not count toward this), down to a floor of 5% once 1,500 or more products are published on that platform. The commission tiers are:
6.3 Applicable fees and commissions are exclusive of taxes unless expressly stated otherwise.
6.4 You authorise Peppit and/or its payment service providers to collect amounts properly due under these Terms.
6.5 The Free Plan is limited to one store location. Peppit Pro includes one store location as standard, with additional store locations available for £9.99 per month each and billed as part of your subscription.
7. Customer Data and Data Portability.
7.1 You retain ownership of data you provide to Peppit ("Customer Data").
7.2 You grant Peppit a non-exclusive right to host, copy, process, transmit and otherwise use Customer Data as reasonably necessary to provide, maintain, secure and improve the Services.
7.3 Peppit may create and use aggregated or anonymised information derived from use of the Services provided that it does not identify you or your business.
7.4 Peppit maintains its own copy of your catalogue data as part of providing the Services.
7.5 Peppit does not provide bulk catalogue exports. This restriction applies to Customers, administrators and Peppit support personnel and cannot be overridden through the Services.
7.6 You acknowledge that certain Third-Party Services may not provide merchants with a facility to export their catalogue data. Accordingly, your Peppit catalogue may be the only durable copy of catalogue information maintained by Peppit.
7.7 The restriction in clause 7.5 is a product and security control and is not intended to prevent you from exercising any legal right you may have in relation to your personal data.
8. Catalogue and Integration Protection.
8.1 Peppit may invest substantial resources in digitising your inventory, preparing your catalogue and establishing and maintaining integrations with Third-Party Services.
8.2 You must not deliberately circumvent, disable or undermine the Services or any Peppit integration to avoid Peppit fees or commissions after benefiting from Peppit's setup, catalogue or integration services.
8.3 If you edit or delete catalogue data directly on a connected Third-Party Service, your changes may be silently overwritten by Peppit's next automatic catalogue sync.
8.4 You must not deliberately reset or otherwise interfere with the configuration of HubRise or another connected middleware or integration service. Doing so may result in disconnection of the integration or suspension of the Services.
8.5 A breach of this section may result in suspension or termination of the Services.
9. Disconnecting Integrations.
9.1 Where you disconnect a Third-Party Service through Peppit's interface, Peppit will immediately remove the products managed through the relevant Peppit connection from that Third-Party Service.
9.2 Before confirming a disconnection, Peppit will provide a clear warning that disconnection will immediately remove the relevant products from the Third-Party Service.
9.3 Your Customer Data remains stored within Peppit and may be available for use if you subsequently reconnect the relevant Third-Party Service, subject to the functionality then available.
9.4 You acknowledge that removing products from a Third-Party Service may affect your ability to receive orders through that service.
10. Minimum Catalogue Requirement.
10.1 Where applicable to your plan, you must publish at least 100 products within 30 days of becoming eligible to publish products through Peppit.
10.2 Peppit may issue reminders or warnings at approximately day 7 and day 21.
10.3 If the requirement has not been met by day 30, Peppit may disconnect your Third-Party Service connections and/or terminate the relevant Services.
10.4 Peppit may extend or waive this requirement at its discretion.
11. Intellectual Property and Restrictions.
11.1 Peppit and its licensors retain all rights in the Services, software, technology, documentation, interfaces, designs and other materials provided by Peppit.
11.2 You must not copy, reproduce, modify, reverse engineer, decompile, disassemble, distribute, resell, sublicense or commercially exploit the Services except as expressly permitted by these Terms.
11.3 You must not use the Services to develop or operate a competing service.
12. Acceptable Use.
You must not:
- use the Services unlawfully, fraudulently or deceptively;
- infringe third-party intellectual property, privacy or other rights;
- attempt to gain unauthorised access to Peppit;
- interfere with or disrupt the Services;
- introduce malicious code or harmful material; or
- permit another person to do any of the above.
13. Suspension.
Peppit may suspend all or part of the Services where:
- you breach these Terms;
- we reasonably suspect unlawful, fraudulent or abusive use;
- your account or credentials are compromised;
- required payments remain outstanding;
- required Stripe verification has not been completed or maintained;
- a Third-Party Service causes an outage or restriction;
- suspension is required for security, legal or regulatory reasons; or
- continued provision creates a material risk to Peppit, its Customers or a third party.
14. Disclaimer.
14.1 To the maximum extent permitted by law, the Services are provided on an "as is" and "as available" basis.
14.2 Peppit does not warrant that the Services will be uninterrupted, error-free, secure, accurate or suitable for your particular requirements.
14.3 Peppit does not warrant the accuracy or completeness of information obtained from Third-Party Services or generated through automated or AI-enabled functionality.
14.4 You are responsible for reviewing and verifying information before relying on it or publishing it.
15. Indemnity.
You will indemnify and hold Peppit harmless against claims, losses, damages, costs and expenses arising from:
- your breach of these Terms;
- your unlawful use of the Services;
- your products, catalogue or Customer Data;
- your breach of a Third-Party Service's terms; or
- your infringement of a third party's rights.
16. Liability.
16.1 Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
16.2 To the maximum extent permitted by law, Peppit will not be liable for indirect, consequential or special losses, loss of profits, revenue, business, goodwill, anticipated savings or data.
16.3 To the maximum extent permitted by law, Peppit's total aggregate liability arising out of or in connection with the Services will not exceed the greater of £100 or the total fees paid by you to Peppit during the 12 months preceding the event giving rise to the claim.
16.4 Peppit is not liable for acts or omissions of Third-Party Services.
17. Termination.
17.1 Either party may terminate these Terms in accordance with the applicable plan terms.
17.2 Peppit may terminate immediately where you materially breach these Terms, engage in unlawful or fraudulent activity, fail to pay amounts due, fail required verification, or circumvent or interfere with the Services or integrations.
17.3 On termination, your right to use the Services ends.
17.4 Peppit may disconnect Third-Party Service integrations as part of termination.
17.5 Amounts accrued before termination remain payable.
17.6 Provisions concerning intellectual property, Customer Data, indemnity, liability, payment and governing law survive termination.
18. Changes.
18.1 Peppit may amend these Terms by publishing an updated version or notifying you using your registered contact details.
18.2 Material changes will normally take effect no earlier than 30 days after notice, unless a shorter period is required by law, regulation, security requirements or circumstances outside Peppit's reasonable control.
18.3 Continued use of the Services after the effective date constitutes acceptance of the amended Terms.
19. General.
19.1 You may not assign or transfer these Terms without Peppit's prior written consent.
19.2 Failure to enforce a provision does not constitute a waiver.
19.3 If any provision is invalid or unenforceable, the remaining provisions remain effective.
19.4 Notices may be sent electronically to the contact details associated with your account.
20. Governing Law.
These Terms are governed by the laws of England and Wales.
The courts of England and Wales have exclusive jurisdiction over disputes arising from or in connection with these Terms.
